Please read these terms carefully. They govern your use of the Margincore platform.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Margincore ("Margincore", "we", "us", or "our"), governing your access to and use of the website at margincore.in and the web application at app.margincore.in (collectively, the "Platform").
By accessing the Platform, creating an account, or using any feature of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.
Important: Margincore is an independent software company. We are not affiliated with, endorsed by, sponsored by, or in any way officially connected to Amazon, Flipkart, Myntra, Meesho, Snapdeal, Nykaa, or any other marketplace. All marketplace names and trademarks are the property of their respective owners.

If you use the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall mean both you personally and that entity.

We reserve the right to suspend or terminate accounts where we reasonably suspect the information provided is false, misleading, or violates these Terms.
Margincore is a B2B software-as-a-service (SaaS) platform that helps e-commerce sellers in India identify, document, and report potential discrepancies in marketplace fees, order settlements, and payments. Core capabilities include:
Margincore identifies potential discrepancies and helps you prepare supporting evidence. We do not file claims with marketplaces on your behalf, and we do not guarantee that any marketplace will accept a claim, process a refund, or reimburse any amount. Outcomes depend entirely on marketplace policies and decisions, which are outside our control.
We strive to maintain high availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to scheduled maintenance, infrastructure updates, or circumstances beyond our control. We will endeavour to provide advance notice of scheduled downtime.
We reserve the right to modify, improve, or discontinue features of the Platform at any time. For material changes that adversely affect paid features, we will provide reasonable advance notice.
By connecting a marketplace account to Margincore, you explicitly authorise us to access specified data from your seller account via the marketplace's official API or OAuth mechanism. You represent that you have the right to grant this authorisation and that doing so does not violate the marketplace's terms of service.
We request only the minimum data permissions necessary to provide the reconciliation Service. We do not request or use permissions to modify listings, place orders, change account settings, or take any action in your seller account.
For Amazon Selling Partner API integrations, you acknowledge and agree that:
The same principles apply to all marketplace integrations: we access only what is needed for reconciliation, we do not use marketplace data for any purpose other than providing the Service to you, and you may revoke access at any time through the respective marketplace's settings. You are responsible for ensuring your use of Margincore complies with the terms of service of each connected marketplace.
You are solely responsible for maintaining the health and compliance of your marketplace seller accounts. Margincore is a read-only reconciliation tool and does not influence your account health metrics, feedback scores, or compliance status in any way.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
We reserve the right to suspend or terminate access for violations of this section without notice.
Access to the full features of the Platform requires a paid subscription. Available plans, features, and pricing are described on our Pricing page. All prices are quoted in Indian Rupees (INR) and are exclusive of applicable Goods and Services Tax (GST) unless otherwise stated.
We may offer a free trial period for new accounts. During the trial, you have access to a specified subset of features at no charge. No credit card is required to begin a trial. At the end of the trial period, access will be restricted to free-tier limits unless you subscribe to a paid plan. We reserve the right to modify or discontinue free trial offers at any time.
Paid subscriptions are billed in advance, either monthly or annually, depending on the plan you select. By providing your payment details, you authorise Margincore (via our payment processor, Razorpay) to charge the applicable subscription fee at the start of each billing cycle until you cancel.
We reserve the right to change subscription pricing. We will notify existing subscribers at least 30 days before any price change takes effect. Continued use of the Platform after the effective date of the price change constitutes acceptance of the new pricing.
GST-compliant invoices will be issued for each subscription payment. To receive a tax invoice with your GSTIN, you must enter your GST registration number in your account settings. We are not responsible for incorrect invoice details arising from inaccurate information in your account.
If a payment fails, we will attempt to notify you by email. If payment is not received within 7 days of the due date, access to paid features may be suspended until the outstanding amount is settled.
You may cancel your subscription at any time from your account settings at app.margincore.in. Cancellation takes effect at the end of your current paid billing period. You will retain access to paid features until that date, after which your account will revert to free-tier limits.
Subscription fees are generally non-refundable. However, we will issue a full refund in the following circumstances:
To request a refund, contact support@margincore.in within 7 days of the charge. We will review your request and respond within 5 business days. Approved refunds will be processed through the original payment method within 10–15 business days.
For annual plan subscribers who cancel before the end of the annual term, we may, at our discretion, offer a pro-rata credit for unused months, applicable to a future subscription, rather than a cash refund.
You own all data that you upload to or connect to the Platform, including marketplace transaction data, settlement reports, and account information ("Your Data"). We do not claim any ownership rights over Your Data.
By using the Platform, you grant Margincore a limited, non-exclusive, non-transferable licence to access, store, process, and display Your Data solely for the purpose of providing and improving the Service to you. This licence terminates upon account closure, subject to any retention obligations described in our Privacy Policy.
You may export your reconciliation reports and data from the Platform at any time in standard formats (CSV, PDF). Upon account closure, we will make your data available for export for 30 days, after which it will be deleted from our systems.
We may use anonymised, aggregated, and de-identified data derived from platform usage to improve our algorithms, publish industry insights, or for internal analytics. Such data cannot reasonably identify you or your business.
The Platform — including its software, algorithms, user interface, visual design, documentation, trademarks, and all related materials — is the exclusive property of Margincore and is protected by Indian and international intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business purposes. This licence does not include:
Each party agrees to keep confidential any non-public information received from the other party in connection with the use of the Platform ("Confidential Information"), and to use it solely for the purposes of these Terms. Each party will protect the other's Confidential Information with at least the same degree of care used to protect its own, and in no event less than reasonable care.
This obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed without reference to the Confidential Information; or (d) is required to be disclosed by law or court order, provided the disclosing party is given prior notice where legally permissible.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:
Margincore is a decision-support tool. You remain solely responsible for verifying report accuracy, submitting claims to marketplaces, and complying with marketplace policies. Do not rely solely on Margincore output for financial decisions.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARGINCORE AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
IN ANY EVENT, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO MARGINCORE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such cases, the above limitations will apply to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Margincore and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
You may terminate your account at any time by cancelling your subscription and requesting account deletion from your account settings or by contacting support@margincore.in.
We may suspend or terminate your access to the Platform, with or without notice, if:
Upon termination: your right to access the Platform ceases immediately; any licences granted to you are revoked; and we will handle your data in accordance with our Privacy Policy. Sections 9 (Data Ownership), 10 (Intellectual Property), 11 (Confidentiality), 12 (Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), 16 (Governing Law), and 18 (General Provisions) shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Indian Contract Act, 1872, and all other applicable regulations.
Before initiating formal proceedings, both parties agree to attempt to resolve any dispute informally by contacting our Grievance Officer (Section 17). The party raising the dispute shall provide written notice, and both parties shall attempt to resolve the matter in good faith within 30 days.
If informal resolution fails, disputes shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator mutually agreed upon, or appointed by a competent court. The seat of arbitration shall be New Delhi, India. The language of arbitration shall be English.
For matters not subject to arbitration, and for enforcement of any arbitral award, the courts located in New Delhi, India shall have exclusive jurisdiction.
In accordance with the Information Technology Act, 2000, the IT (Intermediary Guidelines) Rules, 2021, and the DPDP Act, 2023, we have designated a Grievance Officer to address complaints and concerns:

Grievances will be acknowledged within 48 hours of receipt and resolved within 30 days, or such shorter period as may be prescribed by applicable law.
These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Margincore regarding the Platform, and supersede all prior communications, negotiations, or agreements.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor in connection with a merger, acquisition, or sale of assets.
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, government actions, power failures, internet outages, or acts of war.
We may revise these Terms from time to time. We will notify you of material changes via email at least 15 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms. The "Last updated" date at the top of this page indicates the most recent revision.
